Vendor Contract Agreement

Important: By submitting a vendor application, the vendor acknowledges that they have read, understand and agree to these terms and conditions and are signing the contract electronically.

The following contract agreement is between Itliong Enterprises LLC dba www.hicollector, herein referred to as the Organizer, and the Vendor or Artist herein referred to as vendor, participating at the event named Pop-Culture Expo selling goods and/or services. Vendor agrees to conform and abide by this agreement and not to hold liable Itliong Enterprises LLC, its staff, affiliates, partners, Pearlridge Center (including mall management), and Washington Prime Group for liability for damage, injury or loss to persons or property arising from use of event space or participation in the event.

I. EVENT

The event is the Pop-Culture Expo, scheduled for October 24 & 25, 2026 at Pearlridge Center. The event is organized and produced by Itliong Enterprises LLC and is designed as a business-oriented event.

  1. Vendor areas are assigned at the sole discretion of the Organizer. The Organizer may change the floor plan or move a vendor before or during the event.
  2. The designated setup area must be presentable and safe. No extra tables are permitted. Displays and racks must be authorized and used within the designated area. Storage is allowed only under the table and must fit. Empty boxes may not be exposed.
  3. No displays or fixtures may exceed 6 ft in height. This includes table displays and items placed on top of 6-ft shelves.
  4. Vendors must remain within their designated booth area and may not exceed its boundaries.
  5. Vendors are responsible for the safety and security of their area, products and displays.
  6. Vendors must use PPE and other protective practices when required by the State of Hawaii and City and County of Honolulu.
  7. All federal, state and local fire and safety laws must be observed. Walkways, aisles, fire extinguishers, fire hoses, fire alarms and fire exits must not be blocked or covered.
  8. Vendors may not block posted advertising in or around the mall with displays, tables or merchandise.

All displays and setups must be completed 30 minutes before the event opens. The Organizer makes no representations, express or implied, regarding attendance, special guests, events or other matters.

II. CODE OF CONDUCT

  1. Vendors agree to work with Itliong Enterprises LLC, Pearlridge Center management and security in a courteous and professional manner and to respect other vendors, staff, the venue and participants, including on social media.
  2. Participating vendors agree not to post negative or malicious comments on social media sites concerning participation in the event. Vendors who cannot agree to this requirement should not participate. Violators may be asked to leave without a refund.
  3. Vendors must comply with Pearlridge Center rules and regulations and Pop-Culture Expo event rules. Vendors who do not comply will receive one warning; after that, they may be required to leave without a refund.

III. CONFIDENTIALITY AND NON-COMPETITION AGREEMENT

Vendors may receive confidential or proprietary information relating to vendors, vendor services, or the business or operations of Itliong Enterprises LLC and its affiliates.

  1. Confidential information received by the vendor shall not be disclosed or disseminated and shall be kept in strict confidence. Vendors agree to exercise reasonable caution to prevent disclosure.
  2. Vendors agree not to reproduce confidential information and, upon request or termination of their relationship with Itliong Enterprises LLC, will return written documents relating to confidential information. Itliong Enterprises LLC has the sole right to determine whether information is confidential or proprietary.
  3. Vendors agree not to compete with Itliong Enterprises LLC by attempting to solicit vendors and sponsors for similar events or by using event materials, company initiatives and/or intellectual property while associated with Pop-Culture Expo.

IV. RISK AND RELEASE OF LIABILITY

  1. Vendors expressly assume all risks associated with participation, including theft, loss, harm, damage or injury to business, property, profits or person regardless of cause.
  2. Vendors understand that participation may involve exposure to pandemic viruses, including COVID-19 and flu, assume related risks, and release Itliong Enterprises LLC, its staff, affiliates, partners, Pearlridge Center (including mall management), and Washington Prime Group from related liability or lawsuits.
  3. The Organizer, facility, staff and management will not be liable for lost profits or incidental, special, direct or indirect costs, punitive or consequential damages arising from vendor participation.
  4. Vendors are responsible for damage to Pearlridge Center property and agree to hold the Organizer, facility, staff and management harmless from claims, demands, suits, liabilities, damages, losses, costs, legal fees and expenses resulting from participation, breach of this agreement, violations of law or ordinance, libel/slander/defamation claims, or harm or injury.

V. BANNED ITEMS

Because the Pop-Culture Expo is a free public business event, the following items may not be sold. Prohibited merchandise is subject to removal or cancellation of vendor participation without a refund for the space.

  1. Goods or services deemed illegal under United States, State of Hawaii, or City and County of Honolulu law.
  2. Unlicensed merchandise, including grey-market, pirated, bootleg or counterfeit merchandise.
  3. Weapons composed of real metal or steel that can be thrown or used as firing weapons.
  4. Adult materials that are non-anime/manga based or paraphernalia.
  5. Merchandise that can be used for illegal substances or promotes illegal substances.
  6. Open food items. Edible food items require approval before distribution at the event.

VI. CANCELLATION POLICY

Vendor cancellations made on or before October 1, 2026 are eligible for a full refund less 10% of the amount paid. Cancellations from October 2 through October 20, 2026 are eligible for a 50% refund. Cancellations after October 20, 2026 are not eligible for a refund.

The Organizer may refuse vendor move-in and setup when a balance is unpaid. All amounts due for participation must be paid on or before October 22, 2026.

If Pearlridge Center becomes unavailable due to fire, flood, tempest, tsunami, acts of God, governmental intervention, malicious damage, acts of war, strikes, labor disputes, riots or other causes outside the Organizer's control, or if the Organizer determines it necessary to cancel, postpone, relocate or reduce event times, the Organizer is not liable to indemnify or reimburse vendors for direct or indirect loss. The Organizer may cancel, rename, relocate or change event dates; vendors may request a full refund or participate in the revised event.

The Organizer may cancel or remove any vendor who does not comply with this contract, Pearlridge Center rules and policies, or Pop-Culture Expo event rules before or during the event.

VII. ACKNOWLEDGEMENT

The parties are independent contractors. Nothing in this agreement creates an agency, partnership, joint venture or employment relationship between the Organizer and Vendor.

Upon signing, both parties agree to the terms and enter a valid contract. If any part is held invalid or unenforceable, the remaining provisions remain enforceable to the fullest extent of the law.
